Terms of Service

Welcome to ElitePharma ("we," "our," or "us"). By accessing or using our pharmacy operating system, website, mobile application, and related services (collectively, the "Services"), you match to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

1. SaaS Services and Support

1.1 License Grant. Subject to these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business operations during the subscription term.
1.2 Updates. We may update the Services from time to time to improve performance, enhance functionality, or address security issues. You agree to receive such updates automatically.
1.3 Availability. We will use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, except for planned downtime or force majeure events.

2. User Responsibilities

2.1 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.2 Compliance. You agree to use the Services in compliance with all applicable laws and regulations, including but not limited to pharmacy practice standards, data privacy laws (HIPAA/GDPR), and controlled substance regulations.
2.3 Prohibited Uses. You may not: (a) reverse engineer the Services; (b) use the Services to build a competitive product; (c) misuse our AI capabilities to generate harmful content or provide unlicensed medical advice.

3. Payment and Subscriptions

3.1 Fees. You agree to pay all fees specified in your order form or selected plan. Fees are non-refundable except as required by law.
3.2 Billing. Subscriptions are billed in advance on a monthly or annual basis. If payment fails, we may suspend your access to the Services until payment is received.
3.3 Taxes. You are responsible for any applicable sales, use, or value-added taxes associated with your purchase.

4. Data Ownership and Privacy

4.1 Your Data. You retain all ownership rights to the data you upload or input into the Services ("Customer Data"). You grant us a license to use Customer Data to provide and improve the Services.
4.2 Patient Data. Ideally, the system should process Protected Health Information (PHI) in accordance with our Privacy Policy and applicable laws. We implement technical safeguards to protect PHI but you act as the data controller.

5. Intellectual Property

The Services, including all underlying code, AI models, and designs, are the property of ElitePharma and its licensors. You obtain no rights to the Services except the limited license granted herein.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE SERVICES ARE A TOOL TO ASSIST PHARMACY PROFESSIONALS AND DO NOT CONSTITUTE MEDICAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR PROFESSIONAL DECISIONS MADE USING THE SERVICES.

7. Limitation of Liability

IN NO EVENT SHALL ELITEPHARMA BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Services will cease immediately.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.
